We will form your new company with your intended directors, company secretary, shareholders, and all other required company details, which are recorded at the Irish Companies Registration Office (CRO) at the time of incorporation. However, when needed, Coddan can also provide nominee secretaries, directors, or shareholders, as well as a local Irish registered office address for your new or existing company. Furthermore, we will complete all initial statutory documents on your behalf, ensuring that all necessary forms and resolutions are correctly filed with the CRO. You never have to worry about your initial first meeting minutes or company register: these documents are created for your company immediately, and you will receive them inclusive of any package type that you select. It is safe to say that Coddan helps our clients to avoid legal fees and that our prices do not reflect those you would pay a lawyer. Basic requirements:
Once you have made your decision to form a company through Coddan, there are several basic requirements in order to proceed with company formation. First, a unique, original company name will be needed. There are various restrictions for sensitive words or expressions, and you must avoid similarities to other Irish company names. Next, Irish companies require at least two individuals over the age of 18 to act in the capacity of director. Also, out of the two required company directors, at least 1 must be permanently residing in Ireland. Then, a company secretary should be appointed, and that individual will be responsible for filing all company documents and accounts.
Registered office address:
A registered address based in the Republic of Ireland, and a summary of principal activities will need to be provided on Coddan’s online order form. The term “principal activity” refers to any activity that a company may be lawfully formed to carry on, and this includes the holding, acquisition or disposal of property. A company may not be incorporated unless it appears to the Irish Registrar of Companies that the company, when registered, will carry on a particular activity in the State. Normally, the main business trading address, where your principal activity is conducted, does not have to be located in the Republic of Ireland. However, the registered office location of a company is required and is where CRO correspondence and all formal legal notices addressed to the company will be sent. The registered office can be anywhere in the State; however, if you are unable to present an Irish registered address, Coddan can assist you. Because the address must be a physical location, and any letter addressed to the company’s registered office address must be capable of being delivered to a person, and not just a post office box number, Coddan provides the use of our registered office address in Dublin for £150 per year. You may renew this service annually, and you never have to worry about the date your service will expire: Coddan will notify you and ask you if you choose to renew your address service. Keep in mind that the CRO must be notified if the company’s registered address has been changed at any time; otherwise, the company owners are at risk of accruing penalties. This is another way that Coddan may aid you.
Nominees:
As mentioned in a latter section, Irish companies require that two company directors and one secretary be appointed. One of the directors may double as a secretary for the company. However, what happens in the case that you only have the ability to name one director, and you need to find a second director for your company? Also, if you are unable to provide the name of an individual who is able to fulfill the secretarial duties of your company? In those cases, Coddan may step in and provide you with a nominee. In many countries, such as the UK, anyone may appoint corporate entities as nominee members in a company; however, in the Republic of Ireland, the government requires that a physical person be named in all director and secretary positions of a company. Coddan may assist you with this matter: subject to the review of the client, we may provide you with individual nominee directors or secretaries for an annual fee of £450. Also, if there is a need for nominee shareholders, Coddan is able to provide you with this service for £125 annually.
Post-incorporation support:
Once your company is established, and you find that you require assistance with post-incorporation activities, such as bank introductions, mail forwarding, or the filing of your annual return, Coddan can help. Bank introductions are provided to those who need additional help with the collection of all documents and various prerequisites required by your chosen bank. Coddan is most familiar with the standards and procedures of Bank of Ireland, but we are willing to accommodate our clients if there are any other preferences. For £250, we will begin the bank introduction by sending you a list of personal and company documents to collect, arranging a private meeting with a bank advisor, and, ultimately, acting as a mediator for any complicated issues or questions that arise.
Virtual office services are offered by Coddan to clients who may need additional office management support, such as handling of mail or phone calls and access to meeting rooms. Mail forwarding a commonly requested service and starts from £250; the fees increase based on the method of postal delivery you prefer.
Aside from new company formation, we also specialise in the coordination of ready made companies for our clients. The companies we offer are ready to trade, and may be completely transferred to you within 5-7 business days. Generally, the leading reason that ready-made companies are enticing for certain people is that acquiring an aged entity can reinforce business relationships among outside associates or can help to reinforce your company’s credit. The length of time for which a company has existed can influence various factors, such as the ones previously mentioned. The fact that Coddan’s Irish off-the shelf entities have never operated; that all stock or shares are intact; and that there have been no penalties or bad credit reviews gives intrinsic value to those companies. You may choose to buy a ready-made company, starting from £650, and you can feel secure in knowing that you have not only bought a new company for running your business, but that you also have purchased a piece of creditable history.
Often, our clients request accounting services or financial advising. Although we make it clear to clients that we are unable to supply you with financial planning decisions or tell you how to run your business, we do, however, provide basic accounting support and filing of company annual returns. For £90, Coddan can submit your annual return to the CRO on a timely basis. Using the information you provide to us, we complete the proper forms, pay all CRO submission fees, and take care of your once a year annual return filing. If you are in need of general accounting services, Coddan will ask some initial questions in order to assess the growth of your company, and then, we can provide you with an individual quote for your specific accounting maintenance needs. It is standard for a deposit of £300 to be taken, and our advisor will inform you of ongoing fees that will be determined thereafter. Billing can be arranged monthly or quarterly, and no annual contracts need to be signed.
