Registered Office Address Facility
Irish Registered Office Address:
An Irish-registered company is legally required by the Companies Act 1963 Section 113 (1) to maintain a local registered office address, starting from the moment of the company’s initial formation. All correspondence, such as letters from the Irish CRO or tax authorities, will be sent to the registered address on file at the CRO. Therefore, any changes in that address need to be relayed to the CRO; this way, any important mail will not be lost or delayed. The well-being of your Irish company may be determined by how well updates in company details, including registered address alterations, are managed.

Registered Office Service in Ireland for only £150:
For owners of new Irish companies, or existing companies, Coddan is able to provide an annual registered office address service if needed. The city in which we may offer an official Irish address is in Dublin, and the fee for using this Dublin address is £150 per year, renewable for consecutive years, as needed by the client. As the renewal date approaches, our clients will receive notification by e-mail to determine whether further additional registered office provision is required; then, Coddan has the capacity to send you your invoice for renewal and to take authorisation of your credit card payment. Immediate renewal is required in order to continuously maintain the use of Coddan’s registered office facility. In the event that an altered registered office address is not relinquished to Coddan, we are obliged by the CRO to provide the last known contact details of our client and to advise the CRO on the most recent information known about the specific Irish company in question.

Distinction From Trading Address:
It is also beneficial to mention that the registered office address and the company’s trading, or business, address are two separately defined items. Although some Irish companies choose to let their registered address double as their trading address, this is not a necessity. For some companies, the main place of business may be situated outside of the Republic of Ireland, although it should be duly noted that some degree of a company’s principal activities are required to occur within the State, or, in other words, within the Republic of Ireland. Therefore, in the cases where the main trading location is outside of the States, it is obvious that the company will have both an Irish-based registered office address and a separate trading address. A distinct Irish registered address WILL be required, and all official company mail should continue to be received at the address of your registered office, rather than at your trading address. Any changes in the location of your Irish registered address should be lodged at the CRO within 14 days of any changes via a particular form: the Form B2.

Register of Members and Other Company Records:
It is a requirement that the company’s register of members by kept at its registered office address, as well as a copy of a company's official books and the statutory registers. This way, both shareholders and other interested parties, may benefit from having the ability to access this information at any time needed.

Display of Company Details:
There are certain rules stated in the Companies Act, which specify in what manner, and to what extent, the company name, must be displayed. Generally, the company name is to be shown in all notices and other official publications of the company, as well as in all bills of exchange, promissory notes, endorsements, cheques and orders, invoices, receipts and letters of credit for money or goods that need to be signed by, or on behalf of, the company.

Regarding the registered office address, the following particulars must be shown on letters and on order forms of Irish limited liability companies:

The full name of the company;
The forename and surname (or initials) of the directors, along with their nationalities;
Place (the city) in Ireland where the company has a registered office address;
Registered number of the company, as stated on the Certificate of Incorporation;
Exact address of the company’s registered office;
Statement that the company is a limited one, only in the case that a company is exempt from using the word “limited” in the name;
Statement to indicate that a company is being wound up, if the process is underway;
Reference to paid-up share capital, only if the share capital of a company is mentioned on its letterhead or order forms.
